GENERAL GUIDELINES
Collaborate with task force members (Directors Maxwell, McCune and Scriver) to review the governance observations contained in the Albertyn report and suggest options for responding to them within the context of an overall policy review.
Document feedback from Board members with regard to their experiences, success stories and suggestions related to Institute governance.
Conduct a review of governance matters at the Board of Directors level, having particular regard to the areas for review identified below.
Produce a work plan with deliverables, milestones and time lines for completion of the work identified below.
Submit progress reports to President Daviau on a bi-monthly basis.
Submit a final report to President Daviau by December 1, 2017.
AREAS FOR REVIEW
- Review By-Laws, regulations and other documents and reports related to Institute governance to determine if activities are consistent with the generally understood intent of the foundational documents;
- Undertake an inclusive review of the governance model and structure at the Institute to address concerns and seek greater efficiency, effectiveness and accountability;
- Collaborate with the task force and other Board members to produce a strategy for enhancing the governance capacity of the Board;
- Identify best practices for Institute governance at the Board of Directors level, including recommendations for new or amended governance policies;
- Provide standardized and relevant definitions of “confidentiality”, “closed session”, “conflict of interest” and “bias”;
- Recommend a learning path for governance development among Board members, including initial governance orientation as well as ongoing governance development;
- Produce a discussion paper to assist the Institute in clearly defining roles and responsibilities of Board members;
- Provide options outlining possible amendments to by-laws, regulations and policies that meet the objectives of the policy review;
- Ensure that all options presented are evidence based; reflective of current practices in unions and comparable organizations; and based in the current knowledge and understandings in the literature on nonprofits.
